Martin Sinclair is a litigator. He represents his clients in their most significant disputes.

Exceptionally skilled in handling complex litigation in federal, state, and arbitral forums, Martin has prevailed in competition law, commercial contracts, racketeering, defamation, and corporate governance cases, mergers and acquisitions disputes, shareholder derivative litigation, and class actions. Mr. Sinclair has also represented individuals and entities in connection with civil and criminal investigations as well as conducted internal investigations in anti-corruption, fraud, securities and related matters. He is also committed to public service through pro bono representations and government service.

Recognizing how challenging and disruptive litigation can be for his clients and their businesses, Martin works directly with executive teams and in-house counsel, strategizing ways to reduce the burdens so his clients can focus on their business objectives.

Before joining the firm, Martin spent over a decade representing corporate entities in complex fraud actions and international anti-corruption investigations at Skadden, Arps. He began his career as a law clerk for the Honorable William J. Bauer of the United States Court of Appeals for the Seventh Circuit.

Representative Matters

Represented the plaintiffs in a case alleging antitrust, federal RICO, and state consumer protection law violation claims against Ranbaxy, achieving a favorable pretrial settlement for a reported $485 million. In re Ranbaxy Generic Drug Appl. Antitrust Litigation, Case No. 10-md-02878 (D. Mass.).

Representing numerous healthcare funds against medical claims network providers for conspiring to reduce national competition and increase prices.

Defended an international election technology entity facing RICO, conspiracy, and equal protection and due process violation counterclaims. U.S. Dominion, Inc. et al. v. My Pillow, Inc. et al., Case No. 21-cv-445 (D.D.C.). Counterclaims were dismissed and the court granted the client request for sanctions against the defendant-counterclaimant.

Represented multinational automobile manufacturers in an antitrust action against their suppliers for conspiring to fix prices of ferroalloys. Achieved a favorable settlement.

Defended the Chief Financial Officer of Tribune Corporation in Delaware state and federal courts against adversarial proceedings alleging fraud, which stemmed from the publisher’s bankruptcy after it was taken private.

Represented a market-leading technology platform company in a complex breach of contract claim against a valued business partner poised for an initial public offering. A favorable settlement was reached between parties, which enabled them to continue operating peacefully.

Counseled members of the executive team of a publicly listed energy provider in a board dispute, achieving an amicable outcome for all parties.

Defended a third-party financial adviser to a Fortune 100 company CEO in a securities fraud action.

Advocated for individuals being investigated by state and municipal inspectors general, as well as federal prosecutors. Allegations included workplace misconduct and fraud. The clients were interviewed by the government attorneys. Thereafter, the matter has not been pursued.
